Mr Nicholas Thompsell, sitting as a Deputy Judge of the High Court, has handed down judgment in Diana Langer v (1) John McKeown (2) The Stratos Club Limited [2020] EWHC 3485 (Ch), following the 12-day trial of a complex Unfair Prejudice Petition brought under Section 994 of the Companies Act 2006 involving widespread allegations of the misappropriation of company assets and financial mismanagement by a majority shareholder. The judgment contains helpful guidance as to the circumstances in which a Petitioner is entitled to rely upon equitable considerations of good faith in quasi-partnership-type cases and the correct application of Section 177 of the Companies Act 2006.
